Overview

Thank you for choosing to be part of our community at Middesk Inc. (“Company”, “we”, “us”, or “our”). This Privacy Policy describes the privacy practices of the Company and how we handle personal information of people who visit us on the Internet (the “Sites” mean this website, our social media and other digital properties), and in real life (marketing and other live events).

This Privacy Policy is for the general public. Our Sites, products and services are primarily designed for business organizations and their representatives. At this time, we do not offer products or services for use by individuals for their personal, family or household purposes. The collection, sharing and use of personally identifiable information (PII) by our service providers, third-party partners, and customers are governed by their respective privacy policies.

What information do we collect?

We collect your PII when you or your employer provide it to us when utilizing the services, when participating in activities on the Sites, or otherwise contacting us. We also collect your PII when we engage with our service providers, third-party partners, and when we provide services to our customers (which may include your employer).

The categories of PII we have collected in the past 12 months, and collect today, include the following:

  • Identifiers. We collect identifiers such as first and last name, email address, physical address, phone number, and social security number.
  • Professional or employment-related information. We collect employment-related information such as employer identification number, legal entity name, company website, industry, DBAs, corporate address information.
  • Log-In Information. We collect passwords, password hints, and similar security information used for authentication and account access to third party websites.
  • Payment Information. We collect information necessary to process payments, such as a payment instrument number (e.g., a credit card number), and the security code associated with the payment instrument. All payment information is stored by our payment processor and you should review its privacy policies and contact the payment processor directly to respond to any questions related to payments.
  • Internet or other electronic network activity information. We automatically collect certain information when you visit, use or navigate the Sites including device and usage information, IP address, browser and device characteristics, operating system, language preferences, referring URLs, device name, country, location, information about how and when you use our Sites and other technical information.
  • Geolocation Information. Our Sites do not collect precise geolocation information from GPS sensors. However, we do collect IP addresses from which we can determine your general location.
  • Profile Information. We collect social media profile information, marketing leads and search results and links, including paid listings (such as sponsored links).

How do we use your information?

We use the information we collect or receive to:

  • Send administrative information to you. We may use your information to send you information about changes to our terms, conditions, and policies.
  • Fulfill and manage your orders. We may use your information to fulfill and manage orders, payments, returns, and exchanges made through the Sites.
  • Post testimonials. We post testimonials on our Sites that may contain PII. Prior to posting a testimonial, we will obtain your consent to use your name and testimonial. If you wish to update, or delete your testimonial, please contact us at support@middesk.com and be sure to include your name, testimonial location, and contact information.
  • Request Feedback. We may use your information to request feedback and to contact you about your use of our Sites.
  • Protect our Sites. We may use your information as part of our efforts to keep our Sites safe and secure (for example, for fraud monitoring and prevention).
  • Enforce our terms. We may use your information to assist with enforcement of our website Terms of Use (available at www.middesk.com/terms), this Privacy Policy and other agreements.
  • Respond to legal requests and prevent harm. If we receive a subpoena or other legal request, we may need to inspect the information we hold to determine how to respond.
  • Improve our services. We may allow selected third parties to use tracking technology on the Sites, which will enable them to collect information about how you interact with the Sites over time. This information may be used to, among other things, analyze and track data, identify usage trends, determine the effectiveness of our promotional campaigns, determine the popularity of certain content and better understand online activity.
  • Provide services to you and/or our customers. Where you or your employer have signed up for our registered agent services, we will use your information to lodge certain filings and applications on your behalf as part of the services.
  • Verify your identity. We may use your information to verify your identity, the nature and ownership of your business, to evaluate the risk of doing business with you, or for other purposes related to the provision of the services.

Who will your information be shared with?

We only share and disclose your information with the following third parties. We have categorized each party so that you may easily understand the purpose of our data collection and processing practices.

  • Service Providers. We may share your information with service providers including third party vendors, consultants, contractors or registered agents who perform services for us or on our behalf and require access to such information to do that work.
  • Purchasers of Our Business. We may share or transfer your information in connection with, or during negotiations of, any merger, sale of company assets, financing, or acquisition of all or a portion of our business to another company.
  • Business Partners. We may share your information with our business partners to offer you or your employer certain products, services or promotions.
  • State Government Agencies. We may share your information with state government agencies only insofar as such communication is necessary to provide the services to you or your employer. Specifically, we may share your information with the secretary of state, state tax authority, or other state regulator.
  • Law Enforcement. We may share your information in order to comply, as necessary, with applicable laws and regulatory requirements, as well as legal process, respond to mandatory legal or governmental requests or demands for information, enforce our agreements, policies, procedures and terms of use, and protect ourselves, our customers, or the general public from illegal activities.
  • Payment Processors. We may share your information with our payment processors as necessary to enable them to process payments, and for anti-fraud purposes.

How long do we keep your information?

We will only keep your PII for as long as it is necessary for the purposes set out in this Privacy Policy, unless a longer retention period is required or permitted by law (such as tax, accounting or other legal requirements).

When we have no ongoing legitimate business need to process PII, we will either delete or anonymize it, or, if this is not possible (for example, because the PII has been stored in backup archives), then we will securely store the PII and isolate it from any further processing until deletion is possible.

How do we keep your information safe?

Middesk strives to ensure that our systems are secure and that they meet industry standards. We seek to protect PII that is provided to Middesk by third parties and by you by implementing physical and electronic safeguards. Middesk endeavors to engage third-party service providers that have security and confidentiality policies, if such third-party service providers have access to our PII. Despite our efforts to protect the security of your information, no security system is always effective and we cannot guarantee that our systems will be completely secure.

Do we collect information from minors?

Persons under the age of 18 are not allowed to use the Sites and we do not knowingly collect PII from persons under 18 years of age. By using the Sites, you represent that you are at least 18. If we learn that we have collected PII about a person under the age of 18 years of age, we will deactivate the account and take reasonable measures to promptly delete such data from our records. If you become aware of any information we have collected from a person under age 18, please contact us at support@middesk.com.We do not and will not knowingly sell PII of consumers under the age of 16.

Use of Cookies

Middesk uses cookies in order to provide better service, to facilitate our customers’ use of our Sites, to track usage of the Sites, to collect data and to address certain security issues. When you access our Sites, we send the cookies to your computer or phone. Your computer or phone stores the cookie in a file located inside your web browser. The cookies help Middesk keep track of your visits to our Sites and your activity on our Sites and to understand how you interact with us.

We may link the information collected by cookies with other information we collect from you pursuant to this Privacy Policy and use the combined information as set forth herein. Similarly, the third parties who serve cookies on our Sites may link your name or email address to other information they collect, which may include past purchases made offline or online, or your online usage information.

Changes to our Privacy Policy

Middesk reserves the right to make changes to this Privacy Policy. If we make material changes to our Privacy Policy, our revised Privacy Policy will be posted at www.middesk.com/policies/privacy, and it will either be noted on our Sites that material changes have been made or we will notify our users by email. The date of the most recent update to our Privacy Policy will be set forth in the header to the Privacy Policy.
